Key decisions from the 312th Annual Meeting of the ICSI Council

The 312th annual meeting of the Institute of Company Secretaries of India (ICSI), held on October 8-9, 2024, saw several important decisions aimed at improving professional development and infrastructure. Major endorsements included the establishment of an “ICSI debating society” to improve public speaking and critical thinking among students and members. The meeting also approved the adoption of the “Governance and Compliance Standard on Preventing, Prohibiting and Remedying Sexual Harassment in the Workplace.” In terms of infrastructure, the council approved provision of new IT infrastructure and procurement of non-IT items for various ICSI Chapters. Changes have been made to the ICSI (Management and Development of Company Secretaries in Practice) Guidelines, including a cap on signing annual returns in Form MGT-7. Additionally, changes have been made to the Chapter Management Guidelines, with some chapters being classified as “Evolving Chapters” and updates to the Classroom Teaching Guidelines to prevent conflicts of interest with private coaching centers. The meeting also included the reallocation of districts within certain chapters to improve operational efficiency.

Important decisions made in 312th The (annual) meeting of the Council took place at 08th-09th October 2024

1. Approval granted for the establishment of the “Debate ICSI Society’ for improving public speaking skills, encouraging critical thinking and promoting open dialogue prominently between students and ICSI members, implemented through CCGRTs, regional offices and chapters.

2. Approval granted for adoption and implementation of ICSIs “Governance and Compliance Standard on Preventing, Prohibiting and Remedying Sexual Harassment in the Workplace”, at the Headquarters, Regional Offices, CCGRTs and Chapters of the Institute.

3. Approval granted for provision of a new IT infrastructure/ replacement of the old IT infrastructure, as the case may be, at once, the chapters to meet their needs and enable them to work efficiently.

4. Approval granted for one-time purchase of various infrastructure related items (non-IT) be provided to the various chapters to meet their various current requirements.

5. Approval granted for changes in ICSI (Management It Guidelines for the development of company secretaries in practice), 2023, including fixing the cap on signing the Annual Declaration in Form MGT-7.

6. Approval granted for changes in ICSI Chapter Management Guide, 2024 covering among others, the provisions relating to the classification of Silver Grade chapters into evolving chapters.

7. Approval granted for changes in ICSI Guide (Library and Reading Room) – 2020 for the establishment of libraries and for improving the efficiency of libraries in all offices of the Institute.

8. Approval granted for changes in Classroom Teaching Guide, rt restrictions on the Members of the Central Council and the Regional Councils to associate directly or indirectly with the Private Coaching Centers that organize courses for the Company Secretary Course.

9. Approved the reallocation of districts in certain Chapters of the Institute.

10. Approval granted for classification of certain Chapters as “Evolving Chapters” in accordance with the ICSI Chapter Management Guidelines, 2024.
